This Coaching Agreement incorporates this Cover Sheet and the Terms and Conditions set out in the Schedule (together the “Agreement”) and sets out the terms and conditions on which the Parties agree to establish the coaching relationship.
Background
- The Client desires to retain the services of the Coach as a contractor consultant to provide professional coaching services.
- The Coach desires to provide such professional coaching services to the Client focusing on the Coachee coaching conditions set out in the table below.

- The Parties each acknowledge and agree that the Coach, in performing the professional coaching services under contract with the Client, is bound to comply with the ICF Code of Ethics at all times during the term of this Agreement and while the coaching relationship is in effect.
By signing below, each Party acknowledges it has carefully read and fully understood this Agreement, and each Party agrees to be bound by the terms of this Agreement from the Effective Date. The individuals signing this Agreement undertake and confirm that they have the legal authority to bind the relevant Party to the terms of this Agreement.

Schedule – Terms and Conditions of two separate roles (Coach and skill development Facilitator)
Coaching Role
1) Coach-Client Relationship:
Description of Coaching: Coaching is partnership (defined as an alliance, not legal business partnership) between the Coach and the client in a thought-provoking and creative process that inspires the client maximize personal and professional potential. It is designed to facilitate the creation/development of personal, professional or business goals and to develop and carry out a strategy for achieving those goals.
- Coach agrees to maintain the ethics and standards of behavior established by the international Coaching Federation “(ICF)”. www.coachingfederation.org/ethics.
It is recommended that the Client review the ICF Code of Ethics and the applicable standards of behavior.
- Client is solely responsible for creating and implementing his/her own physical, mental and emotional well-being, decisions, choices, actions and results arising out of or resulting from that the coaching relationship and his/her coaching calls and interactions with the Coach. As such, the Client agrees that the Coach is not and will not be liable or responsible for any actions or in action, or for any direct or indirect result of any services provided by the Coach. Client understands coaching is not therapy and does not substitute for therapy if needed, and does not prevent, cure, or treat any mental disorder or medical disease.
- Client further acknowledges that he/she may terminate or discontinue the coaching relationship at any time.
- Client acknowledges that the coaching is comprehensive process that may involve different areas of his or her life, including work, finances, health, relationship, education and recreation. The Client agrees that deciding how to handle these issues, incorporate, coaching principles into those areas and implementing choices is exclusively the Client’s responsibility.
- Client acknowledges that coaching does not involve the diagnosis or treatment of mental disorders as defined by the American Psychiatric Association and that coaching is not to be used as substitute for counseling, psychotherapy, psychoanalysis, mental health care, substance abuse treatment, or other professional advice by legal, medical, or other qualified professionals guidance as needed. If Client is currently under the care of a mental health professional, it is recommended that the Client promptly inform the mental health care provider of the nature and extent of the coaching relationship agreed upon by the Client and the Coach.
- Client understands that in order to enhance the coaching relationship, the Client agrees to communicate honestly, be open to feedback and assistance and to create the time and energy to participate fully in the program.
2) Procedure:
The time and location of the coaching meetings shall be determined by Coach and Client. The Client will initiate all scheduled calls and will call the Coach at the following number for all scheduled meetings +971 50 482 6638. If the Coach is at any other number for a scheduled call, Client will be notified prior to the scheduled meeting time.
3) Confidentiality:
This coaching relationship, as well as all information (documented or verbal) that the Client shares with the Coach as part of this relationship, is bound by the principles of confidentiality set forth in the ICF Code of Ethics. However, please be aware that the Coach-Client relationship is not considered a legally confidential relationship (like the medical and legal professions) and thus communications are not subject to the protection of any legally recognized privilege. The Coach agrees not to disclose any information pertaining to the Client without the Client's written consent. The Coach will not disclose the Client's name as a reference without the Client's consent.
Confidential Information does not include information that: (a) was in the Coach's possession prior to its being furnished by the Client; {b) is generally known to the public or in the Client's industry; (c) is obtained by the Coach from a third party, without breach of any obligation to the Client; (d) is independently developed by the Coach without use of or reference to the Client's confidential information; or (e) the Coach is required by statute, lawfully issued subpoena, or by court order to disclose; (f) is disclosed to the Coach and as a result of such disclosure the Coach reasonably believes there to be an imminent or likely risk of danger or harm to the Client or others; and (g) involves illegal activity. The Client also acknowledges his or her continuing obligation to raise any confidentiality questions or concerns with the Coach in a timely manner.
4) Privacy/Data Protection
- The Coach and the Client will both comply as appropriate with applicable privacy/data protection legislation (including GDPR), binding court order, judgment or decree, guidance, codes, policy or standards.
- With regards to processing personal data/personal identifiable information {"data") in relation to the Client, the Coach will: process such data lawfully (on an appropriate basis including but not limited to consent, or to comply with the Coach's legal or regulatory obligations, or for contractual performance, or for the Coach's legitimate interests), fairly and in a transparent manner; collect such data for specified, explicit and legitimate purposes and not further process such data in a manner that is incompatible with those purposes; ensure that such data is adequate, relevant and limited to what is necessary in relation to the purposes for which they are processed; maintain such data accurately; keep such data for no longer than is necessary for the purposes for which the data are processed; appropriate technical or organizational measures; maintain records of such data processing under applicable privacy/data protection legislation requirements; share such data with third parties who the Coach will inform the Client about; concerning such data, observe the Client's privacy/data protection rights under applicable privacy/data protection legislation requirements, which may be subject to some conditions and exceptions; process such data for marketing purposes under applicable privacy/data protection legislation requirements; in case of a security breach concerning such data, where requirements of applicable privacy/data protection legislation are met, notify a regulat9ry or supervisory authority, board or other body responsible for administering privacy/data protection legislation, and the Client of the data security breach; and, where it is necessary for the Coach to transfer such data internationally the Coach will comply with applicable privacy/data protection legislation requirements designed to ensure the privacy of such data.

- In connection with any infringement by the Coach of applicable privacy/data protection legislation requirements, including a security breach, concerning personal data/personal identifiable information in relation to the Client, the Coach's entire liability under this Agreement and the Client's exclusive remedy shall be limited to the amount actually paid by the Client to the Coach under this Agreement for all coaching services rendered through and including the termination date.
5) Release of Information: (Optional, based upon specific situation)
1) The Coach engages in training and continuing education pursuing and/or maintaining ICF (International Coach Federation) Credentials. That process requires the names and contact information of all Clients for possible verification by the ICF. By signing this agreement, you agree to have only your name, contact information and start and end dates of coaching shared with ICF staff members and/or other parties involved in this process for the sole and necessary purpose of verifying the coaching relationship, no personal notes will be shared.

According to the ethics of our profession, topics may be anonymously and hypothetically shared with other coaching professionals for training, supervision, mentoring, evaluation, and for coach professional development and/or consultation purposes.

6) Cancellation Policy:
Client agrees that it is the Client's responsibility to notify the Coach 24 hours in advance of the scheduled calls/meetings, and these shall be rescheduled accordingly. In case a meeting is missed without a 24 hour notice, Coach has the right to bill Client for the missed meeting .
7) Record Retention Policy: (Optional, if the Coach as adopted such a policy)
The Client acknowledges that the Coach has disclosed his/her record retention policy with respect to documents, information and data acquired or shared during the term of the Coach-Client relationship. Such records will be maintained securely by the Coach in a format of the Coach's choice (print or digital/electronic) for a period of not less than 2 years, unless otherwise required by law.
8) Termination:
Either the Client or the Coach may terminate this Agreement at any time with One weeks written notice. Client agrees to compensate the Coach for all coaching services rendered through and including the effective date of termination of the coaching relationship.
9) Limited Liability:
Except as expressly provided in this Agreement, the Coach makes no guarantees, representations or warranties of any kind or nature, express or implied with respect to the coaching services negotiated, agreed upon and rendered. In no event shall the Coach be liable to the Client for any indirect, consequential or special damages. Notwithstanding any damages that the Client may incur, the Coach's entire liability under this Agreement, and the Client's exclusive remedy, shall be limited to the amount actually paid by the Client to the Coach under this Agreement for all coaching services rendered through and including the termination date.
10) Entire Agreement:
This document reflects the entire agreement between the Coach and the Client, and reflects a complete understanding of the parties with respect to the subject matter. This Agreement supersedes all prior written and oral representations. The Agreement may not be amended, altered or supplemented except in writing signed by both the Coach and the Client.
11) Dispute Resolution:
If a dispute arises out of this Agreement that cannot be resolved by mutual consent, the Client and Coach agree to attempt to mediate in good faith for up to (certain amount of time such as 30 days) after notice given. If the dispute is not so resolved, and in the event of legal action, the prevailing party shall be entitled to recover attorney's fees and court costs from the other party.
12) Severability:
If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If the Court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid' and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

13) Waiver:
The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.
14) Applicable Law:
This Agreement shall be governed and construed in accordance with the Federal laws of the United Arab Emirates without giving effect to any conflicts of law provisions.
15) Payment Options
The total cost of our coaching agreement is $ 5,808 or DH 21,200_.
You have two choices as to how you pay for these services:
_____PAYMENT OPTION A: Pay In Full
With this option, the total amount of the agreement ($2,986) or DH 10,900 is due at the beginning of our coaching agreement. If you pay in full, you save ($ 299) or DH 1,100
_____PAYMENT OPTION B: Pay each month
With this option, the agreed-upon monthly payment would be made by bank transfer or credit card and automatically processed by my office, with the first payment due before the coaching program starts. The total monthly payment would be $1,095 or DH 4,000 per month.
Skill Development Facilitator Role
1.1. The Facilitator Role: The Facilitator agrees to provide services focused on skill development in the areas outlined below. This role is distinct from coaching, therapy, or consultancy.
1.2. Scope of Services: The Facilitator will deliver content, tools, techniques, perspectives, and structured learning experiences designed to build the Client's skills in the following areas:
Emotional intelligence skills
Awareness of common human unconscious brain pitfalls.
Using Neuro-Linguistic Programming (NLP) tools for state management (moving from freeze, fight, or flight to a calm mode).
Learning tools and frameworks for identifying and naming self-saboteurs.
Neuroscience perspective on leadership.
Strategies and tools for creating a psychological safe environment.
1.3. Distinction from Other Professions:
Not Therapy or Counseling: The Facilitator's services are not therapy, counseling, or any form of mental health treatment. The Facilitator does not diagnose or treat mental disorders. The Client is solely responsible for their own well-being and for seeking professional therapy, counseling, or medical services if needed.
Not Coaching: While there may be elements of interaction and dialogue, the Facilitator role differs from the standard coaching relationship. Coaching is defined as a thought-provoking and creative partnership where the client is the expert in their life and the focus is primarily on client-generated solutions. In the Facilitator role, the Facilitator provides specific information, frameworks, and tools based on their expertise in the agreed-upon subject areas [1.2]. The tone is therefore different from a pure coaching engagement where there is an equal partnership focused solely on eliciting client-generated solutions.
Not Consultancy: The focus of this engagement is specifically on developing the Client's skills and knowledge in the defined areas [1.2], rather than providing expert recommendations or solutions related to business strategy, operations, or other broader consultancy areas.
- Role Shifting and Client Agreement
2.1. Awareness of Multiple Roles: The Facilitator may hold other professional roles, including potentially being qualified as a coach or in other capacities.
2.2. Signalling Role Shifts: The Facilitator is committed to maintaining clear boundaries between different professional roles. The Facilitator will explicitly signal to the Client when shifting from the "Facilitator for Skill Development" role to any other role, and vice versa.
2.3. Client Agreement for Role Shifts and Scope Adjustments: Before or during an engagement, the Facilitator and Client operate within the agreed-upon scope of the relationship, which is typically focused on partnering in a thought-provoking and creative process to inspire the client's potential and facilitate their own learning and growth (akin to a coaching role). However, situations may arise where the Client's needs or inquiries extend beyond this initial scope, for instance, when the Client expresses a need to explore something outside the core agenda or requires more direct guidance, knowledge transfer, or instruction on applying specific skills (such as an Emotional Intelligence skill).
If the Facilitator possesses the necessary qualifications, expertise, and competency to address this need through a different professional role, such as acting as a Skill Development Facilitator, it is their responsibility to proactively signal this potential shift in the interaction. The Facilitator will then explain the nature of the role they are proposing to shift into (e.g., "Skill Development Facilitator"), clearly articulating how this role and its approach differs from the established Facilitator role. This explanation should cover potential differences in the Facilitator's style (e.g., more instructional or directive), the Client's responsibilities, and any potential shift in dynamic associated with the new role.
Crucially, the Facilitator will obtain the Client's explicit agreement or permission to make this specific shift for the intended purpose (e.g., "Would you be open to shifting for a few minutes so I can offer some direct input as a Skill Development Facilitator on that specific EI skill?"). This process of clear explanation and explicit consent ensures the Client fully understands the context of the interaction, the change in dynamic, and consents to proceeding in the alternative professional capacity.
If the Client's need falls outside the Facilitator's qualifications, expertise, or competency in any of their roles, the Facilitator should consider suggesting the client seek services from other qualified professionals or resources.
2.4. Clarity and Expectations: The Client acknowledges that the Facilitator's communication style and the nature of interaction may differ depending on the role being fulfilled at that moment (e.g., more directive when delivering specific skills as a Facilitator vs. more inquiry-based when in a coaching stance). The Facilitator will strive to make these distinctions clear.
- Client and Facilitator Responsibilities
3.1. Facilitator Responsibilities: The Facilitator agrees to:
Deliver the agreed-upon skill development content and tools with professionalism and competence and answer any questions about the content via the private portal or via zoom if client prefers to watch the lessons with the coach.
Maintain the strictest level of confidentiality regarding all client information, subject to the limits outlined in the coaching role and the agreed upon with all parties (ex:watching the online videos and doing the practice and reflection exercises without revealing specific sensitive information about the client.
3.2. Client Responsibilities: The Client agrees to:
Choose to watch the online lessons (self-paced) or inform the facilitator to watch together bi-weekly
Actively participate in the skill development lessons
Engage with the provided content, tools, and techniques.
Understand that applying the learned skills and information is the Client's sole responsibility.
Acknowledge that they are solely responsible for creating and implementing their own well-being, decisions, choices, actions, and results arising out of or resulting from this engagement.
- Engagement Logistics
4.1. Duration and Frequency: The parties agree to engage in a skill development program for a duration of __3_ months. If client wishes to watch the lessons with coach, sessions will typically occur bi-weekly and for approximately 60 minutes or more in duration depending on the module.
Self-paced clients are encouraged to finish one module every other week, which means 15 -25 minutes per day for 5-7 days.
4.2. Method of Delivery: Lessons will be accessed via online private portal where clients have their private log in details.
4.3. Private Client Access
Everything used in the coaching experience (tools, forms, schedules, documents, resources, etc) will all be housed conveniently on a secured and confidential "Private Client Website". Upon enrolling for the coaching experience, the client will be given a unique username and password. At his/her convenience client may access this "Private Client Website" area to access, review, and/or update the tools, documents, resources, etc that the coach and client will be using through the coaching. The coach will provide the client with access information and further instructions once they begin coaching.
Through this Private Client Website client will provided with a specific tool to support him/her in preparing for the coaching sessions to leverage every minute spent together with the coach. The client will also be provided with another specific tool to support him/her after the coaching session is complete; this will keep the coaching going into the client’s everyday life. In between each coaching session client will have access to the coach via email and a Client Log tool so that at any time the client has questions, becomes stuck, or cares to share victories coach is available to the client.
- Confidentiality
6.1. Scope of Confidentiality: The Facilitator agrees to maintain the strictest level of confidentiality with all information shared by the Client as part of this engagement, regardless of the role being fulfilled. This includes information discussed verbally or shared in documented form.
6.2. Limits of Confidentiality: Confidentiality does not apply to information that:
Was in the Facilitator's possession prior to being shared by the Client.
Is generally known to the public or in the Client's industry.
Is obtained by the Facilitator from a third party without breaching any obligation to the Client.
Is independently developed by the Facilitator without using or referencing the Client's confidential information.
The Facilitator is required by statute, lawfully issued subpoena, or court order to disclose.
Is disclosed and as a result the Facilitator reasonably believes there is an imminent or likely risk of danger or harm to the Client or others.
Involves illegal activity.
6.3. Data Protection and Record Retention: The Facilitator will take appropriate security precautions with client information and maintain records in accordance with the Facilitator's record retention policy (if applicable) for a period of not less than __2_ years. The Client will be made aware if notes or recordings are made and how data is stored (refer to 4.3.). Consent will be obtained for audio or video recordings.
7 Referral:
In the event of termination, or if the Facilitator believes the Client would be better served by another professional resource, the Facilitator may support and encourage the Client to seek alternative services, such as coaching, therapy, or other appropriate support.
8 Limited Liability
8.1. No Guarantees: The Facilitator makes no guarantees, representations, or warranties of any kind regarding the results the Client will achieve from this engagement. The success of skill development depends significantly on the Client's willingness to engage, apply the learnings, and take action.
8.2. Limitation of Liability: In no event shall the Facilitator be liable for any indirect, consequential, or special damages. The Facilitator's entire liability under this Agreement shall be limited to the amount actually paid by the Client to the Facilitator for services rendered through and including the termination date.
